  • Acceptance of Terms – By accessing or using the services provided by Binary Anchor Systems, you agree to be bound by these Terms of Service. If you do not agree, you may not use our services.
  • Description of Services – We offer infrastructure management, data auditing, cloud migration, workflow optimization, and security implementation. Services are provided as described on our website and in your service agreement.
  • User Responsibilities – You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information.
  • Account Registration – To access certain features, you may need to register an account. You must be at least 18 years old and capable of forming a binding contract.
  • Prohibited Conduct – You may not use our services for any illegal or unauthorized purpose, nor may you interfere with the proper functioning of the services or circumvent security measures.
  • Fees and Payment – Fees for services are as set forth in your agreement or on our pricing page. Payments are due in advance unless otherwise agreed. Late payments may incur interest or suspension of services.
  • Taxes – You are responsible for all taxes associated with your use of our services, excluding taxes based on our net income.
  • Term and Termination – This agreement begins on the date you first use our services and continues until terminated. Either party may terminate for convenience with 30 days’ notice. We may terminate immediately for breach.
  • Effect of Termination – Upon termination, your right to access services ceases. Provisions that by their nature should survive termination (e.g., payment obligations, limitations of liability) remain in effect.
  • Intellectual Property Rights – We retain all rights, title, and interest in our services, including software, trademarks, and content. You may not copy, modify, or reverse‑engineer any part.
  • Confidentiality – Both parties agree to keep confidential any proprietary information disclosed during the course of the engagement. This obligation survives termination.
  • Third‑Party Services – Our services may integrate with third‑party platforms. We are not responsible for the performance or security of those third‑party services.
  • Warranty Disclaimer – Our services are provided “as is” without warranties of any kind, either express or implied. We do not warrant that the services will be error‑free or uninterrupted.
  • Limitation of Liability – To the maximum extent permitted by law, Binary Anchor Systems shall not be liable for any indirect, incidental, or consequential damages arising from your use of the services.
  • Indemnification – You agree to indemnify and hold harmless Binary Anchor Systems from any claims arising out of your breach of these terms or your misuse of the services.
  • Governing Law – These terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Kentucky.
  • Dispute Resolution – Before filing a lawsuit, you agree to attempt to resolve any dispute informally by contacting us. If not resolved within 30 days, either party may initiate binding arbitration.
  • Class Action Waiver – Any proceedings to resolve disputes will be conducted on an individual basis, not as a class or consolidated action.
  • Force Majeure – We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, such as natural disasters or internet outages.
  • Entire Agreement – These terms constitute the entire agreement between you and Binary Anchor Systems regarding the services and supersede any prior agreements.
  • Waiver and Severability – Our failure to enforce any provision is not a waiver. If any provision is found unenforceable, the remaining provisions remain in full force.
  • Assignment – You may not assign your rights under these terms without our prior written consent. We may assign our rights to an affiliate or in connection with a merger or acquisition.
